Welcome to Minimum Effort LLC ("Minimum Effort," "we," "our," or "us").

By accessing our website, requesting services, purchasing products, engaging in consulting services, subscribing to software, or otherwise interacting with Minimum Effort, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you should not use our website or services.

Minimum Effort provides consulting, software development, automation services, artificial intelligence solutions, analytics, business intelligence, voice agents, chat agents, workflow automation, managed services, and related technology services.

We reserve the right to modify, suspend, or discontinue any service at any time without liability.

You agree to:

• Provide accurate information.
• Maintain the security of your accounts and credentials.
• Use our services in compliance with applicable laws.
• Obtain all required permissions and consents for data submitted to our systems.

You are solely responsible for the legality, quality, and accuracy of any information, content, or data you provide.

Unless otherwise agreed in writing:

• Minimum Effort retains ownership of its software, methodologies, frameworks, templates, processes, systems, trademarks, and intellectual property.
• Customers retain ownership of their business data, customer information, content, and materials provided to Minimum Effort.
• Deliverables specifically created and paid for by a customer may be transferred pursuant to a separate written agreement.

Nothing in these Terms grants ownership rights to either party's pre-existing intellectual property.

Minimum Effort may utilize artificial intelligence systems, automation platforms, machine learning technologies, and third-party AI providers to deliver requested services.

Customers acknowledge that:

• AI-generated outputs may contain inaccuracies.
• AI recommendations should be independently reviewed before business use.
• Minimum Effort does not guarantee the accuracy, completeness, or suitability of AI-generated content.

Customers remain responsible for business decisions made using AI-generated outputs.

Fees for services, subscriptions, consulting engagements, and software products are outlined in applicable proposals, contracts, statements of work, invoices, or subscription agreements.

Payments are due according to the terms specified in the applicable agreement.

Late payments may result in:

• Service suspension
• Account restrictions
• Collection efforts
• Additional fees permitted by law

All fees are non-refundable unless otherwise stated in writing.

Our services may integrate with third-party platforms, including but not limited to:

• Stripe
• Google Cloud Platform
• Twilio
• OpenAI
• Anthropic
• Retell AI
• Supabase
• CRM platforms
• Payment processors

Minimum Effort is not responsible for interruptions, failures, pricing changes, or actions taken by third-party providers.

Both parties agree to protect confidential information disclosed during the course of a business relationship.

Confidential information shall not be disclosed to third parties except:

• With written permission
• As required by law
• To authorized contractors or service providers bound by confidentiality obligations

To the fullest extent permitted by law:

Minimum Effort shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

Our total liability arising out of or related to any claim shall not exceed the amount paid to Minimum Effort by the customer during the twelve (12) months preceding the event giving rise to the claim.

Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Minimum Effort disclaims all warranties, express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuous availability
• Error-free operation

We do not guarantee specific business outcomes, revenue increases, cost reductions, or operational improvements.

You agree to defend, indemnify, and hold harmless Minimum Effort, its officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Data or content you provide
• Violations of applicable law

We may suspend or terminate access to our services at any time if:

• You violate these Terms
• You fail to make required payments
• Your use presents legal, security, or operational risks

Termination does not relieve payment obligations accrued before termination.

These Terms shall be governed by and construed under the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any disputes shall be resolved in the state or federal courts located within Pennsylvania.

Minimum Effort may update these Terms from time to time.

Updated Terms become effective upon posting to our website.

Continued use of our services constitutes acceptance of the revised Terms.
